Partner Program Terms

These Partner Program Terms (“Terms”) govern participation in the Qont Partner Program (“Program”). By applying for or participating in the Program, the Partner agrees to the conditions set out in these Terms. Qont may update or modify these Terms at any time.
1. Scope of the Program
The Program covers both integration and reseller partnerships, as well as referral partnerships. Partners may engage in activities involving the distribution, integration, or referral of Qont services and products subject to these Terms.
2. Eligibility Requirements
Participation is limited to legally registered entities that meet Qont’s eligibility criteria.
Partner acceptance is subject to:
completion of Qont’s verification process
compliance with all Qont legal, branding, and operational policies
absence of conflicting or prohibited activities
Qont may approve or decline any applicant at its discretion.
3. Partner Benefits
Participation in the Program does not guarantee specific benefits.
Qont may, at its discretion, provide Partners with:
access to informational materials
permission to represent themselves as a “Qont Partner”
optional incentives or discounts
All benefits are discretionary, may vary between Partners, and may be revoked at any time.
4. Partner Obligations
Partners must comply with the following requirements:
represent Qont accurately and factually
avoid guarantees, commitments, or unsupported claims
follow Qont’s branding and communications policies
ensure their marketing complies with all applicable regulations
not mislead or misrepresent Qont’s services
ensure customers understand that Qont provides AS-IS services
Partner activities must not create legal exposure for Qont.
5. Use of Qont Branding
Partners may use Qont’s name, logo, and product names only with prior written approval from Qont.
Only approved brand assets may be used.
Branding may not be modified, adapted, or combined with other marks.
Qont may revoke branding permissions at any time.
6. Commercial Model
Qont may offer commissions, discounts, or incentives entirely at its discretion.
No specific pricing, discount, or compensation structure is guaranteed.
Qont may change or discontinue any commercial arrangement at any time.
7. Independence and Liability
Partners operate independently and are not agents, representatives, or employees of Qont.
Partners are solely responsible for:
their conduct
any representations they make
compliance with applicable laws
integration, resale, support, or referral activities
Qont is not liable for Partner actions, omissions, or representations.
Partners may not bind Qont to any agreement, statement, or obligation.
8. Partner System Access
Partners may receive limited access to tools, APIs, or integration materials.
Access is discretionary, revocable, and not guaranteed.
Partners must comply with all security requirements and may not attempt to circumvent access controls.
Qont is not obligated to provide integration support or technical assistance.
9. Confidentiality
Partners must maintain strict confidentiality over all non-public information received from Qont.
Confidential information includes operational details, pricing, documentation, tools, APIs, internal communications, and any proprietary information.
Partners may use confidential information only for approved Program activities and must apply commercially reasonable safeguards to protect it.
10. Termination
Qont may suspend or terminate a Partner’s participation in the Program at its discretion.
Qont will attempt to provide notice where practical but is not obligated to do so.
Upon termination:
all Partner rights cease immediately
branding use must stop
confidential materials must be deleted or returned
no benefits or incentives remain available
Termination does not limit Qont’s right to seek remedies for violations.
11. No Guarantees or Warranties
Participation in the Program does not guarantee:
exclusive rights
performance outcomes
revenue
customer acquisition
continued access to tools or materials
All Qont services are provided AS-IS.
12. Governing Law and Jurisdiction
These Terms are governed exclusively by Swiss law.
Any disputes arising from or relating to the Program shall be resolved in Switzerland.
13. Amendments
Qont may modify these Terms at any time.
Continued participation in the Program constitutes acceptance of the updated Terms.
